fast-paced markets.The Role:We are seeking a detail-oriented and
knowledgeable Compliance Associate to join our team at Clear
Street. This role will support the processing, review, and
clearance of restricted securities transactions in compliance with
SEC Rule 144, Rule 145, and other applicable regulations. The ideal
candidate will work closely with clients, legal counsel, compliance
teams, and internal departments to ensure the accurate and timely
handling of restricted stock transactions.Responsibilities
- Review and process restricted stock transactions, ensuring
compliance with SEC regulations, FINRA rules, and internal
policies.
- Analyze and verify legal opinions, legend removal requests, and
transaction documentation related to Rule 144 and other
exemptions.
- Communicate with issuers, transfer agents, legal counsel, and
clients to facilitate the clearance and sale of restricted
securities.
- Identify and escalate red flags to the AML Department.
- Maintain accurate records and documentation of restricted stock
transactions for regulatory and audit purposes.
- Stay updated on SEC and FINRA rules regarding restricted stock
to ensure adherence to the latest compliance requirements.
- Assist in the development and refinement of procedures for
restricted stock processing.
- Coordinate with compliance, legal, and risk management teams to
address regulatory concerns and mitigate risks.
- Provide guidance to clients on the requirements and processes
for selling restricted securities.
- Investigate and resolve any discrepancies or issues related to
restricted stock transactions.
- Participate in audits and regulatory examinations as
needed.Experience and Skills:
- Bachelor's Degree or equivalent.
- At least three (3) years of experience with a financial
services firm, regulator, audit firm or commensurate experience in
a compliance function such as trade surveillance, compliance
advisory or specifically working with restricted securities.
- Strong knowledge of SEC Rule 144, Rule 145, and other
regulatory frameworks governing restricted securities.
- Comfortable in a fast-paced environment with tight response
deadlines
- Ability to manage multiple tasks in a fast-paced environment
while ensuring accuracy and compliance.
- Strong communication and interpersonal skills to interact with
internal stakeholders and clients.
- Self-starter and team playerWe Offer:The Base Salary Range is
$100,000 - $120,000. These ranges are representative of the
starting base salaries for this role at Clear Street. Which range a
candidate fits into and where a candidate falls in the range will
be based on job related factors such as relevant experience,
skills, and location. These ranges represent Base Salary only,
which is just one element of Clear Street's total compensation. The
ranges stated do not include other factors of total compensation
such as bonuses or equity.At Clear Street, we offer competitive
